1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and MVPMule ("Company," "we," "our," or "us") governing your use of our MVP development services.
By engaging our services, signing a project agreement, or accessing our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use our services.
2. Services Description
MVPMule provides MVP (Minimum Viable Product) development services, which may include:
- Product strategy and roadmap development
- UI/UX design and prototyping
- Frontend and backend development
- Mobile application development (iOS, Android, cross-platform)
- Database design and implementation
- API development and third-party integrations
- Quality assurance and testing
- Deployment and launch support
- Post-launch maintenance and support
- Technical consulting and advisory services
The specific scope of services will be defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.
3. Project Engagement Process
3.1 Discovery and Proposal
Each project begins with a discovery phase where we assess your requirements. Following this, we provide a detailed proposal including scope, timeline, deliverables, and pricing.
3.2 Project Agreement
Upon acceptance of the proposal, both parties will sign a project agreement or Statement of Work (SOW) that outlines:
- Detailed scope of work and deliverables
- Project timeline and milestones
- Payment terms and schedule
- Acceptance criteria
- Communication protocols
3.3 Project Execution
We follow an agile development methodology with regular sprints, demos, and client feedback sessions. You will have visibility into progress through our project management tools and regular status updates.
4. Client Responsibilities
To ensure successful project delivery, you agree to:
- Provide accurate and complete project requirements
- Designate a primary point of contact with decision-making authority
- Respond to requests for information, feedback, and approvals within agreed timeframes
- Provide necessary access to systems, accounts, and third-party services
- Supply required content, assets, and materials as needed
- Participate in scheduled meetings and review sessions
- Make timely payments according to the agreed schedule
- Communicate any changes to requirements promptly
Failure to fulfill these responsibilities may result in project delays, additional costs, or scope adjustments.
5. Payment Terms
5.1 Pricing
Project pricing is detailed in your project proposal or SOW. We offer various pricing models including fixed-price, time and materials, and retainer arrangements.
5.2 Payment Schedule
Standard payment terms require:
- 30% deposit upon project commencement
- Progress payments tied to milestone completions
- Final payment upon project delivery and acceptance
5.3 Late Payments
Invoices are due within 14 days of issuance unless otherwise agreed. Late payments may incur:
- Interest charges of 1.5% per month on overdue amounts
- Suspension of work until payment is received
- Retention of deliverables until outstanding balances are settled
6. Intellectual Property Rights
6.1 Client Ownership
Upon full payment, you will own all rights to the custom code, designs, and deliverables created specifically for your project, including:
- Custom application source code
- Database schemas and structures
- Custom UI/UX designs and assets
- Project documentation
6.2 MVPMule Retained Rights
MVPMule retains ownership of:
- Pre-existing tools, frameworks, and libraries we bring to the project
- Reusable components and code snippets not specific to your project
- Development methodologies and processes
- General knowledge and skills acquired during the project
6.3 Third-Party Components
Your project may include open-source software and third-party components subject to their respective licenses. We will provide documentation of all third-party dependencies and their license terms.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. Confidential information includes, but is not limited to:
- Business plans and strategies
- Technical specifications and trade secrets
- Financial information
- Customer and user data
- Unpublished product features
This confidentiality obligation survives the termination of our engagement for a period of 3 years.
8. Change Requests
We understand that requirements may evolve during development. Our change request process:
- Changes to scope must be submitted in writing
- We will assess the impact on timeline and budget within 2 business days
- A change order documenting the modifications and associated costs will be provided
- Work on changes begins only after written approval and any required payment adjustments
- Minor clarifications within the original scope do not require formal change requests
9. Warranties and Disclaimers
9.1 Our Warranties
We warrant that:
- Services will be performed in a professional and workmanlike manner
- Deliverables will substantially conform to agreed specifications
- We have the right to provide the services and deliverables
- Deliverables will be free from material defects for 30 days post-launch
9.2 Disclaimers
EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE MVP WILL GUARANTEE BUSINESS SUCCESS, FUNDING, OR SPECIFIC OUTCOMES. THE SUCCESS OF YOUR PRODUCT DEPENDS ON MANY FACTORS BEYOND OUR CONTROL, INCLUDING MARKET CONDITIONS, EXECUTION, AND BUSINESS DECISIONS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability for any claims arising from our services shall not exceed the total fees paid by you for the specific project giving rise to the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for lost profits, lost revenue, lost data, or business interruption
- These limitations apply regardless of the theory of liability
11. Indemnification
You agree to indemnify and hold harmless MVPMule and its officers, directors, employees, and contractors from any claims, damages, losses, and expenses (including legal fees) arising from: (a) your use of the deliverables; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) content or data you provide; or (e) your business operations.
12. Termination
12.1 Termination by Client
You may terminate the project with 14 days written notice. Upon termination:
- You are responsible for payment of all work completed to date
- Any deposits for incomplete milestones are non-refundable
- We will provide all completed deliverables and work-in-progress
12.2 Termination by MVPMule
We may terminate or suspend services if:
- Payment is overdue by more than 30 days
- You breach these Terms and fail to cure within 14 days of notice
- You engage in conduct that is harmful to our reputation or interests
- Continuing the project becomes impractical due to circumstances beyond our control
12.3 Effect of Termination
Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.
13. Dispute Resolution
In the event of a dispute:
- Parties will first attempt to resolve the matter through good-faith negotiation
- If unresolved within 30 days, parties agree to non-binding mediation
- If mediation fails, disputes shall be resolved through binding arbitration
- The prevailing party shall be entitled to recover reasonable attorney's fees
14. General Provisions
- Governing Law: These Terms are governed by the laws of England and Wales
- Entire Agreement: These Terms, together with the project SOW, constitute the entire agreement between the parties
- Amendments: We may update these Terms; material changes will be communicated with 30 days notice
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect
- Waiver: Failure to enforce any right does not constitute a waiver of that right
- Assignment: You may not assign these Terms without our written consent
- Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control
